LIT UPDATE: FINAL JUDGMENTS ENTERED

Without an update from SEC and based on the docket LIT has reviewed, it appears this was a case of financial mismanagement more than a Ponzi-scheme, but probably was intercepted before it could become a full-blown Ponzi-scheme. It appears from our review of the SEC settlement, judgment and post judgment orders that sufficient assets were available and which could be liquidated to cover the agreed judgments for both the Boron entities and Blake Templeton.

In favor of Securities and Exchange Commission against BC Holdings 2017 LLC, Boron Capital LLC, United BNB Fund 2018 LLC.
It is ORDERED, ADJUDGED, AND DECREED that Defendants are ordered to pay disgorgement, jointly and severally, in the amount of $18,744,313, plus prejudgment interest in the amount of $1,165,198,97.
Payment of $19,909,511.97 is deemed to have been fully satisfied upon the execution of the Receiver’s distribution plan.
It is FURTHER ORDERED, ADJUDGED, AND DECREED that this Court shall retain jurisdiction of this matter for the purposes of enforcing the terms of this Final Judgment.

LIT UPDATE SINCE THE JUNE 2022 SEC LEGAL ACTION

On June 14, 2022, the Securities and Exchange Commission (“SEC”) filed a Complaint in the United States District Court for the Northern District of Texas, Lubbock Division (the “Court”) against Boron Capital, LLC, BC Holdings 2017, LLC, United BNB Fund 2018, LLC, and Blake Robert Templeton (collectively defined above as the “Receivership Defendants”) and individuals. The Court has entered a series of Orders in this matter, including an Order Appointing Receiver on June 14, 2022.
The Court has appointed Albert C. (Tre’) Black, III as the Receiver over the Receivership Defendants, and has ordered Mr. Black to, among other activities, “use reasonable efforts to determine the nature, location and value of all property interests of the Receivership Defendants” and to “take custody, control, and possession of all Receivership Property and records relevant thereto from the Receiver Defendants” (the “Receivership Property” or, collectively, the “Receivership Estates”). In addition, as Receiver, Mr. Black is responsible to “manage, control, operate and maintain the Receivership Estates and hold in his possession, custody and control all Receivership Property, pending further Order of this Court.” Pursuant to Section III of the Order Appointing Receiver, the Receivership Defendants are ordered to turn over to Receiver “all….electronic information of, and/or relating to, the Receivership Defendants and/or all receivership Property.”

SEC Halts Fraudulent Real Estate-Related Investment Offerings

The SEC’s complaint alleges that Templeton has raised more than $18.7 million since 2011 by selling securities issued by Boron, BC Holdings, and United in unregistered offerings.
In the United offering, which began in 2018, Templeton allegedly promised investors that they would receive 8% annualized returns secured by a UCC-1 lien and a mortgage on real estate.
The complaint alleges, however, that Templeton never filed the UCC-1 lien and failed to file a deed of trust to secure United’s interest in the real estate until 2021.
The complaint further alleges that, before filing the deed of trust, Templeton, in undisclosed transactions, granted a prior deed of trust to a large BC Holdings investor and signed an agreement subordinating United’s interest in the real estate to that of the large investor.
The complaint also alleges that Templeton falsely represented to investors that United would provide audited financial statements annually and that a renowned business consultant served on Boron’s board of directors.
In the BC Holdings offering, which began in 2021, Templeton allegedly represented to investors that their investments-on which he promised returns ranging from 10% to 12.5%-would be secured by real estate.
But as alleged, these investments too were subject to the large BC Holdings investor’s undisclosed priority deed of trust and subordination agreement.
The underlying real estate purportedly securing the investments of the United and BC Holdings investors allegedly produced insufficient revenue to satisfy promised investor returns, so Templeton made Ponzi payments to some investors.
The complaint further alleges that the note for the large BC Holdings investor matured on December 15, 2021, and the note’s extension periods expired on March 15, 2022.
With penalties, BC Holdings allegedly now owes the large investor more than $4 million, secured by this investor’s superior deed of trust on the property.
However, the complaint alleges that tax-assessor records show an appraised market value of just $2.15 million for the property, leaving investors at substantial risk of losing their entire investments.
At the SEC’s request, the Court issued a temporary restraining order halting the offering, as well as orders freezing defendants’ assets, appointing a receiver, and granting other emergency relief.
The Court has scheduled a hearing for June 28, 2022 on the SEC’s motion for preliminary injunction.
The SEC’s complaint charges Templeton, Boron, BC Holdings, and United with violating the securities-registration provisions of Sections 5(a) and 5(c) of the Securities Act of 1933 and the antifraud provisions of Section 17(a) of the Securities Act and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder.
In its complaint, the SEC seeks permanent injunctions, civil penalties, and disgorgement of ill-gotten gains, with prejudgment interest, against each defendant.
The SEC’s investigation was conducted by Melanie K. Good and Jody Z. Moore and was supervised by Timothy S. McCole and Eric R. Werner of the Fort Worth Regional Office.
The litigation is being conducted by Matthew J. Gulde and supervised by B. David Fraser.

So we were swingin’ past Blake’s YouTube channel with over 300 videos promoting his ponzi scam and we really thought that would be shut down, but he’s still posting away new videos.
What’s even more curious is this N.D. Texas case has been redirected on courtlistener, rather than shown as two separate but related case, e.g. as a separate and additional district claim to property. We find that unusual to say the least.
Update July 1, the redirect has mysteriously been fixed, N.D. Texas case is back where it should be, on it’s own docket and page.
The case is assigned to Judge Al Bennett’s chambers in S.D. Houston.
So there’s somethin’ goin’ on and we’ll be monitoring closely as this case is all about the $$$$.
